TUPE refers to the “Transfer of Undertakings (Protection of Employment) Regulations 2006“. This legislation applies when business transfers or service provision transfers are made.
A business transfer may occur when a business or part of a business is transferred to a new owner, or if two business merge which results in there being a new employer.
A service provision transfer covers situations such as outsourcing, which is where a contractor takes over the activities of a client. It can also apply insourcing and re-tendering – essentially any situation where the activities of one person are undertaken by another person instead.
When TUPE applies, the employees’ terms and conditions will remain the same after the transfer.
TUPE issues can be complicated, but as an employer it is crucial to understand what your obligations are in order to ensure that you are in compliance with the Regulations. For example, it is necessary to provide information and consult with trade union representatives of employees affected by a transfer, provide information about the employees to the new employer, and make sure that you are aware of any changes which the new employer plans to make which will affect the transferring employees.
