The Commercial Agents Regulations 1993 (the “Regulations”) are there to govern the relationship between a principal and their agent regarding the sale of goods.
Here, the agent will be a self-employed intermediary with a continuing authority to negotiate the sale or purchase of goods on behalf of the principal. The Regulations impose mandatory obligations and rights of both the agent and principal on such matters as pay; commission; restraint of trade; notice of termination; and termination payments. For example, there is a duty to act in good faith; provide documentation; provide notice and information. There are also obligations and rights upon the contract being terminated. The provision of services are not covered by the Regulations.
